Investment Philosophy

At the Silicon Valley Group, our investment philosophy is based a long-term investment thesis. While we diversify, we do not diversify unnecessarily. With every investment, we are extremely cost-conscious of an asset’s market price compared to its intrinsic value. We generally take a bottoms-up investment approach, making investments based primarily on company fundamentals, though prevailing global economic trends are also considered in the investment selection process.

Our investment recommendations are applied with deep conviction, based on current macro and micro events.

After completing our financial planning process, we tailor your particular asset allocation strategy to your unique risk-and-return profile and investment objectives. We strive to generate steady cash flow and consistent risk-adjusted returns by actively managing a high-quality portfolio that consists primarily of U.S. companies with excellent fundamentals and attractive valuations compared to the market. In addition to equities, we focus on bonds, real estate and commodities and have the flexibility to invest globally. Where appropriate, we may include alternative investments, such as private equity and/or private credit. In effect, our investment thesis is similar to that of an endowment.

We are extremely committed to helping our clients keep as much as possible of what they earn with every decision we make.

Rule 10b5-1 Services

Rule 10b5-1 Services

The Silicon Valley Group at Morgan Stanley has extensive experience providing founders, corporate executives and their key employees with comprehensive and customizable solutions for selling their stock while helping them navigate the complex landscape of insider trading and reporting requirements with the assistance of Rule 105b-1.

Since the inception of this rule over 20 years ago, the Silicon Valley Group has been a leading team within the industry advising their clients on diversification strategies utilizing Rule 10b5-1. As a firm, Morgan Stanley has been ranked #1 in SEC Rule 144 and Rule 10b5 transactions over the last 16 years*.

With the Silicon Valley Group, you have access to a talented team of financial advisors highly specialized in 10b5-1 planning and drafting; access to a dedicated plan management team that provides 10b5-1 services and meticulously manages the plan adoption process; and a separate team of experienced traders focused solely on 10b5-1 plans and trading on a proprietary platform.

Pre-IPO Planning

Important tax savings strategies can be implemented prior to the IPO/M&A. While certain contingencies arising after (or in connection with) the transaction may produce some tax advantages, such savings may not put the business owner in the same position as if the owner would have acted prior to the transaction.

Our wealth and estate planning strategists collaborate with our clients and their external legal and tax advisors to integrate investment and estate planning strategies into their pre-IPO or pre-liquidity event planning.

Our team approach combined with your external legal and/or tax advisors are involved in:

• Preliminary due diligence – review balance sheet and existing estate plan
• Objectively educating clients about income tax and estate planning
• Analyzing planning techniques in relation to client goals
• Assisting in the implementation of the estate plan to whatever extent the client is comfortable
• Integrating investment and estate planning strategies – combining “asset location” with “asset allocation.”

Meet The Silicon Valley Group

About John C Lopez

An industry veteran, John has dedicated his entire career to serving the sophisticated needs of corporate executives and their families in California and across the country. He is a Managing Director and founding partner of The Silicon Valley Group, a highly-skilled team of professionals located in Menlo Park. John offers a unique combination of knowledge, experience and specialized skills in wealth management and corporate equity services.

A graduate of the University of California at Chico, John has spent his entire career with Morgan Stanley, joining the firm in 1986. This 30+ year tenure is rare in today’s financial environment and has enabled John to build longstanding relationships with the firm’s senior leaders, providing clients and members of his team with immediate access to the full scope of Morgan Stanley’s intellect and global resources.

Throughout his career, John has remained committed to professional development. In 2005, he was named a Family Wealth Director, a credential achieved by less than two percent of the advisors at Morgan Stanley. This designation places John in an elite category of advisors who are qualified to serve the sophisticated needs of ultra-high net worth clients. John is also a Corporate Client Group Director, another distinguished achievement that allows him to work directly with executives of public and private companies on very specific needs, including pre-IPO and 10b5-1 planning services and other more sophisticated liquidity and diversification strategies.

John currently lives in Portola Valley with his wife and three sons. When he’s not working directly with clients, you can find him spending quality time with friends and family. Favorite leisure activities include coaching his sons’ baseball and basketball teams.

6Investors should consider many factors before deciding which 529 plan is appropriate. Some of these factors include: the Plan’s investment options and the historical investment performance of these options, the Plan’s flexibility and features, the reputation and expertise of the Plan’s investment manager, Plan contribution limits and the federal and state tax benefits associated with an investment in the Plan. Some states, for example, offer favorable tax treatment and other benefits to their residents only if they invest in the state’s own Qualified Tuition Program. Investors should determine their home state’s tax treatment of 529 plans when considering whether to choose an in-state or out-of-state plan. Investors should consult with their tax or legal advisor before investing in any 529 Plan or contact their state tax division for more information. Morgan Stanley Smith Barney LLC does not provide tax and/or legal advice.
