LIQUIDITY EVENTS AND CONCENTRATED STOCK

Many of our clients come to us seeking guidance in effectively managing their concentrated stock positions and/or pre- and post-transaction planning. With an on eye on tax efficiencies and strategic considerations, we separate our advice into three distinct phases:

1. DISCOVERY AND DEFINING THE OBJECTIVES

In advising our founders and executives, we will begin by gathering detailed financial data and constructing a comprehensive financial plan. This allows us to build out your full tax + portfolio blueprint and operating baseline so we can ground recommendations in accurate context. We help guide you through considerations to articulate your goals, understand your risk tolerance, and compare options across scenarios.

Some questions to consider:

  • Are we solving for liquidity, risk reduction, or legacy objectives?
  • Is this about diversification, tax deferral, or immediate lifestyle funding?
  • Is gifting part of the long-term plan?
  • What is your comfort level with illiquidity?
  • What are your family and legacy objectives?

The answers to these questions can help us in designing a comprehensive strategy tailored to your unique situation.

2. STRATEGY DESIGN

In designing your strategy, we structure our advice depending on your situation. For founders and entrepreneurs, we may consider IPO, or sales to strategic acquirers, private equity, and/or employee stock ownership plans (ESOP).

For executives with concentrated stock, we typically employ a mix of strategies from the "HOPES" framework (link below) to facilitate tax-efficient deconcentration, consisting of holding a target reserve, options hedging overlays, prepaid variable forwards, philanthropic gifting, exchange funds, purpose liquidity access lines, and/or systematic selling over time into strength.

An exchange fund or "swap fund" is a private, tax-deferred diversification vehicle where investors contribute highly appreciated, concentrated stock into a pooled partnership for fund units—gaining immediate diversified exposure without an initial taxable sale—and, after a multi year lockup (often ~7 years), investors can typically redeem in-kind for a diversified basket of securities, with the embedded gain and carryover basis preserved until the investor later sells the distributed holdings.

3. PORTFOLIO INTEGRATION

After achieving liquidity, our focus is on implementing a comprehensive wealth management plan that includes investment strategy, tax optimization, lifestyle planning, liability management, and multi-generational legacy considerations.

We understand the importance of aligning your estate plans with your personal values and aspirations for future generations. Through trust and estate planning, we help you create a lasting impact that reflects your vision and supports your family's future. Our holistic approach ensures your wealth is managed effectively, providing peace of mind and financial security for years to come.

Family Office Resources
ALTERNATIVE INVESTMENTS

Alternative investments ("alts") can play a complementary role alongside traditional stock and bond portfolios by adding exposures and return drivers that are less correlated to public market moves. As a result, alts may help enhance long-term return potential and improve risk-adjusted outcomes through greater diversification and less volatility. With proprietary deal flow and opportunities spanning private equity, private credit, and real assets, Morgan Stanley has incredible access and reach across the private markets landscape.

TAX-EFFICIENT INVESTING

Morgan Stanley offers tax-aware investing approaches designed to help manage the impact of taxes on investment outcomes. One such approach is direct indexing, which seeks to track the performance of a well-known market index (for example, the S&P 500) by holding some or all of the individual securities in that index rather than using a pooled vehicle. This structure may provide flexibility to customize holdings and pursue tax-loss harvesting opportunities, while aiming to maintain overall index-like exposures. Over time, these features may help improve after-tax outcomes; however, results are not guaranteed and will vary based on market conditions, client circumstances, portfolio activity, and applicable tax rules.

Private Banker Access

In coordination with our team, we will work with you and our Private Banking Specialist to advise on strategic balance sheet planning and financing conversations—e.g., how to use liquidity lines, securities-based lending (where appropriate), and tailored credit structures to fund real estate, taxes, concentrated positions, or business needs without forcing asset sales.

Trust & Estate Strategy Support

In coordination with outside counsel, we provide comprehensive education and planning support around trusts, beneficiary structures, titling, and multi-state considerations—often helping clients translate legal structures into practical "what happens when" outcomes.

Bring philanthropy into your wealth plan and help amplify the impact of your giving through the Morgan Stanley Global Impact Funding Trust (MS GIFT).

Is a DAF Right For You?
Legacy Trusts and Estate Planning

You can't take it with you, but through a well-structured trust and estate strategy, you can define how you want your life's work and wealth to continue to benefit the people and causes you love and care for.

Foundational Estate Planning Documents
Strategic Gifting and Lifetime Transfer Planning

We help structure tax-efficient gifting strategies that align with your long-term legacy goals. This includes annual exclusion gifting, front-loading education funding, appreciate stock gifting to family, kiddie tax optimzation, UTMA/UGMA funding, Qualified Charitable Distributions (QCD's), and leveraging lifetime exemption amounts - often coordinated with trust structures - to transfer wealth intentionally while reducing future estate tax exposure.

Charitable Trust Staregies (CRTs and CLTs)

For clients seeking both impact and tax efficiency, we deisgn and implement charitable trust strategies. Charitable Remainder Trusts (CRTs) can provide income streams while deferring capital gains taxes on appreciated assets, while Charitable Lead Trusts (CLTs) allow you to support causes today whiletransferring future appreciatiion to heirs more efficiently.

Appreicated Asset and Stock-Based Gifting

We advise on donating highly appreciated securities, concentrated stock positions, or private business interests in a tax-efficient manner. These strategies can help eliminate capital gains exposure while maximizing the charitable deduction - often integate with broader divesification and liquidity planning.

Private Foundation and Family Philanthropy Advisory

For families seeking a more hands-on approach, we guide the creation and ongoing management of private foundations. We help define mission, governance, and grant-making strategy - turning philanthropy into a structured, multi-generational family initiative.

Legacy Intent, Family Governance, and Next-Gen Education

In collaboration with Family Office Resources, we help clients articulate and document legacy intent - how wealth is meant to be used, stewarded, and passed down. This can include family governance frameworks, beneficiary education, and values-based planning to preserve both capital and family values across generation.

9Investing in the market entails the risk of market volatility. The value of all types of investments may increase or decrease over varying time periods. The returns on a portfolio consisting primarily of sustainable or impact investments may be lower or higher than a portfolio that is more diversified or where decisions are based solely on investment considerations. Because sustainability and impact criteria exclude some investments, investors may not be able to take advantage of the same opportunities or market trends as investors that do not use such criteria. Diversification does not guarantee a profit or protect against loss in a declining financial market.
