Many of our clients come to us seeking guidance in effectively managing their concentrated stock positions and/or pre- and post-transaction planning. With an on eye on tax efficiencies and strategic considerations, we separate our advice into three distinct phases:
1. DISCOVERY AND DEFINING THE OBJECTIVES
In advising our founders and executives, we will begin by gathering detailed financial data and constructing a comprehensive financial plan. This allows us to build out your full tax + portfolio blueprint and operating baseline so we can ground recommendations in accurate context. 2. STRATEGY DESIGN
In designing your strategy, we structure our advice depending on your situation. For founders and entrepreneurs, we may consider IPO, or sales to strategic acquirers, private equity, and/or employee stock ownership plans (ESOP).
For executives with concentrated stock, we typically employ a mix of strategies from the "HOPES" framework (link below) to facilitate tax-efficient deconcentration, consisting of holding a target reserve, options hedging overlays, prepaid variable forwards, philanthropic gifting, exchange funds, purpose liquidity access lines, and/or systematic selling over time into strength.
An exchange fund or "swap fund" is a private, tax-deferred diversification vehicle where investors contribute highly appreciated, concentrated stock into a pooled partnership for fund units—gaining immediate diversified exposure without an initial taxable sale—and, after a multi year lockup (often ~7 years), investors can typically redeem in-kind for a diversified basket of securities, with the embedded gain and carryover basis preserved until the investor later sells the distributed holdings.

Morgan Stanley offers tax-aware investing approaches designed to help manage the impact of taxes on investment outcomes. One such approach is direct indexing, which seeks to track the performance of a well-known market index (for example, the S&P 500) by holding some or all of the individual securities in that index rather than using a pooled vehicle. This structure may provide flexibility to customize holdings and pursue tax-loss harvesting opportunities, while aiming to maintain overall index-like exposures. Over time, these features may help improve after-tax outcomes; however, results are not guaranteed and will vary based on market conditions, client circumstances, portfolio activity, and applicable tax rules.
In coordination with our team, we will work with you and our Private Banking Specialist to advise on strategic balance sheet planning and financing conversations—e.g., how to use liquidity lines, securities-based lending (where appropriate), and tailored credit structures to fund real estate, taxes, concentrated positions, or business needs without forcing asset sales.
In coordination with outside counsel, we provide comprehensive education and planning support around trusts, beneficiary structures, titling, and multi-state considerations—often helping clients translate legal structures into practical "what happens when" outcomes.

Charitable Remainder Trusts (CRTs) can provide income streams while deferring capital gains taxes on appreciated assets, while Charitable Lead Trusts (CLTs) allow you to support causes today whiletransferring future appreciatiion to heirs more efficiently.
We advise on donating highly appreciated securities, concentrated stock positions, or private business interests in a tax-efficient manner. These strategies can help eliminate capital gains exposure while maximizing the charitable deduction - often integate with broader divesification and liquidity planning.
