Case Study: International Family Office

Client Background:

A prominent entrepreneurial dynasty from Asia boasting a household net worth of $2 billion and a well-established family office in Hong Kong. The family's extensive portfolio encompassed a myriad of interests in the US, including real estate properties, private company investments, and private equity fund LP interests. Seeking experience in structuring a US entity and bolstering asset management capabilities locally, they recognized the importance of empowering the next generation to steer investment decisions and philanthropic endeavors. However, lacking experience in evaluating private investments and operating in the US, they turned to Morgan Stanley for comprehensive guidance.

Challenges Faced:

  • Structuring a US Entity: The family required guidance to structure the family office's US entity structure, operations, and decision-making, while remaining easy to manage and cost effective.
  • Accessing extensive investment opportunities and leaning on experience for due diligence.
  • Empowering the Next Generation: With a budding interest in investment decision-making and philanthropy, the next-generation family members sought opportunities for active involvement and leadership.
  • Philanthropic Expansion: Seeking to amplify their philanthropic impact, the family aimed to refine their philanthropic strategies, expand their geographic focus, and integrate impact goals into investment decisions.

Strategies Provided:

  • Morgan Stanley Family Office Resources team provided educational and consultative services to help the family understand their options, define the scope, and make informed decisions about the structure and staffing they required.
  • Morgan Stanley Fund Services team provided an institutional quality accounting platform that maintains books and records across all assets in the US portfolio, including the client's direct investments across multiple asset managers and real estate portfolios. A quarterly customized report is generated for the family to review.
  • Provided a capital markets strategy that allowed the family office's active trading team to execute un-solicited trades with a more "institutional-like" dedicated coverage platform for execution as well as research & corporate access.
  • Provided the family office investments access, including niche and limited capacity managers. Also offered co-investment and direct investment opportunities, by taking advantage of Morgan Stanley's network and family office ecosystem.
  • Morgan Stanley Philanthropy Management consulted the family on philanthropic strategies and structures. The Family Foundation's geographic focus was expanded to a global grant-making approach. The Foundation also adopted a holistic approach combining grant-making and the integration of impact goals into their investment decisions. The new strategy and structure allowed for more targeted support of the family's core values.
  • Through wealth education provided by the Morgan Stanley team and hands-on involvement, the next-generation family members gained valuable experience and insights, culminating in their assumption of a leadership role within the Family Foundation.

Alternative investments are often speculative and include a high degree of risk. Investors can lose all or a substantial amount of their investment. They may be highly illiquid, can engage in leverage, short-selling and other speculative practices that may increase volatility and the risk of loss, and may be subject to large investment minimums and initial lock-ups. They may involve complex tax structures, tax inefficient investing and delays in distributing important tax information. They may have higher fees and expenses that traditional investments, and such fees and expenses can lower the returns achieved by investors.

Case Study: Entrepreneurs and Executives

Client Background:

Technology executive who was a founding employee and company insider with a large, concentrated stock position. The client wanted to quickly access over $10Mil liquidity using her existing concentrated stock positions. She was also charitably inclined and planned to donate to her alma mater.

Strategies Provided:

  • As an early employee, we connected her with the appropriate tax and legal resources to determine that her stock qualified as Internal Revenue Code Sec. 1202 qualified small business stock (QSBS), resulting in significant tax savings.
  • Due to her insider status and potential tax consequences, we executed a prepaid forward contract with collars setup against her concentrated stock positions, instead of an outright sale to create the $10Mil liquidity needed.
  • In addition, we set up a 10b5-1 plan to enable her to gradually reduce her additional holdings over the next three years.
  • Leveraging internal firm resources, we established her $2Mil donor advised fund with MS GIFT.

Key Results:

  • We developed a strong relationship that solved her near term liquidity needs, resulting in the client consolidating her assets.
  • We created a diversified portfolio commensurate with the client's risk tolerance and financial goals, advising on her entire wealth, , and continue to coordinate with her corporate and personal advisors.

Case Study: Ultra High Net Worth Family

With an intimate understanding of the needs and challenges facing ultra-high net worth Chinese families, both within and outside the US, the LongHaven Group is qualified to navigate Morgan Stanley's vast resources to help meet your goals. From assisting a multi-generational family in understanding and structuring their estate both in the US and abroad, to designing and executing pre- and post-sale planning strategies for a private business owner, the LongHaven Group seeks to improve decision making by delivering the full breadth of Morgan Stanley's capabilities to successfully execute in multiple situations.

Client Background:

The patriarch had established a thriving export business in China with branches in logistics and real estate. Their children, educated in the US, decided to anchor their future in America. Seeking to transition wealth to the next generation, the family had previously established a British Virgin Island Trust a decade ago. However, with their shift to the US and evolving business landscape, the family recognized the need for trust restructuring and strategic wealth management. Eager to expand their global presence, the family also sought opportunities for business growth in the US.

Challenges Faced:

  • Globalization vs. Localization: Transitioning from an offshore-based legacy to a US-centric focus required reevaluation of trust structures and investment strategies.
  • Inter-Generational Wealth Transfer: Potentially seamless wealth transfer while aligning the values and goals of both generations posed a complex challenge.
  • Business Expansion: Integrating family businesses into the US market demanded strategic investment planning and financial liquidity, which is not generally accessible to a newly established US entity.

Strategies Provided:

  • Trust Restructuring: Internal Morgan Stanley legal resources reviewed the family's current trust documents and advised relocating the BVI trust to the US, aligning it with the family's current jurisdiction and beneficiary base.
  • Wealth Management Strategy: Working with a US legal counsel, the family established a foreign grantor trust and leveraged Morgan Stanley's Outsourced Chief Investment Office Team to craft a bespoke, multi-asset portfolio tailored to the family's risk tolerance and long-term investment goals. The client was also regularly presented with exclusive co-investment opportunities.
  • Inter-Generational Dialogue: Internal trusts teams at Morgan Stanley facilitated meaningful discussions between family members, fostering mutual understanding and collaboration, culminating in a comprehensive Investment Policy Statement for the trust account.
  • Liquidity Support: Leveraging trust assets, Morgan Stanley provided a bridge for capital needs during the family's transition into the US market.
