In-Kind Distributions
With over two decades of experience managing in-kind distributions, we have assisted premier venture capital and private equity funds with returning capital to their limited partners (LPs) in the form of stock. We understand the importance of this step in the Funds lifecycle and have created a process to allow for efficient access to shares for your limited partners.

For limited partners that choose to utilize Morgan Stanley’s trading platform, we open limited-purpose distribution accounts. For most domestic clients, these accounts can be opened same day, and help limited partners to avoid market risk and immediately sell their securities. Our direct distribution model doesn’t require limited partners requesting delivery to open brokerage accounts, which allows for expedited transfer of shares to outside brokers.
Restricted Sales
The VC/PE Team at Morgan Stanley consists of 13 registered financial professionals who specialize in helping clients find liquidity. We understand that each liquidation event is unique and we work as a strategic resource for our Funds, helping them find optimal trading solutions.

Our Financial Advisors help clients choose an exit strategy that best suits the Fund and supports the market. Their primary goal is to anonymously sell concentrated positions without adversely impacting the share price. Morgan Stanley’s premier trading desk has a plethora of customized algorithmic trading solutions, and access to a vast array of dark pools.
Block Trades
Morgan Stanley is regularly cited as the #1 liquidity provider for block trades (source 1,2,3). This market share is a direct result of the strength of our issuer relationships, research coverage, sales & trading desk and wealth management division.

Selling down a position in a single block is attractive for a few reasons: flexible timing, limited market risk, and certainty of disposal and anonymity. We understand our clients’ role as fiduciaries to their limited partners, and we keep their interests in mind by offering alternatives to a dribble-out strategy with a lengthy time horizon, which may significantly raise transaction costs.

Direct Listings
Drawing on our own experience and the vast institutional resources of Morgan Stanley, we have helped scores of cornerstone shareholders with their liquidity needs through direct listings.

In a direct listing, a company lists shares on a stock exchange without the need for the traditional underwriting process, since no primary capital is raised. Executed well, direct listings can secure the broadest global investor base, which enhances liquidity for private equity investors. The auction-based price discovery also provides equal access for all buyers and sellers.

Global Equity Services

The liquidity options for promising venture-backed companies span the globe. Morgan Stanley has the resources to trade in exchanges throughout Europe and Asia, with over 600 offices in 33 countries. In the annual Bloomberg league tables, Morgan Stanley consistently takes the top spot for Global Equity IPOs. In addition, the VC/PE Team can assist with in-kind distributions in many of these markets.

Other Capabilities

Our goal is to deliver a complete range of solutions to Private Equity and Venture Capital Investors to help them effectively and efficiently manage their public holdings
    10(b)5-1 Plans
The industry leader with over 33,000 customized selling programs since the adoption of SEC Rule 10b5-1, Morgan Stanley serves 23% of the market. Our dedicated 14-member team focuses exclusively on plan management and trading, which allows for an open discussion with your advisor and help guard against perception of undue influence by the client. These plans can be drafted for the fund/general partner sales and modified for in-kind distributions.
    Qualified Global Custody
We are a global qualified custodian as defined by SEC Rule 206(4)-2 and maintain physical custody of the private and public portfolios of our clients.
    FX Trading
Morgan Stanley utilizes a number of internally developed tools designed to access both external and internal sources of liquidity. We regularly trade equities in the local market for optimal liquidity and settle in USD. For approved private equity funds that have sold a private company in a cross-border transaction, we can hedge the FX risk in the forward market or implement a bespoke strategy to meet their specific needs.
    Structured Solutions (Hedging)
As an alternative to selling outright we can help our options approved clients hedge and monetize their investments via listed options, FLEX options and OTC derivatives. These strategies may limit downside exposure while retaining some level of upside potential and deferring taxes.

Commonly used structures include: zero-premium collar, prepaid forward, uncapped forward and Premiers (value-added selling program). These tailored solutions provide clients with the tools to address their individual investment needs. The use of Options and OTC derivatives products and strategies may be subject to additional reviews and approvals, and may include additional risks outlined in our disclosures.
