    QSBS

    Qualified small business stock (QSBS) refers to shares of a qualified small business (QSB) as defined by the Internal Revenue Code (IRC). A QSB is an active domestic C corporation whose gross assets- valued at the original cost- do not exceed $50 million on and immediately after its stock issuance. Eligible individuals meeting certain criteria are able to receive tax benefits if they hold qualified small business stock (QSBS). Our team can help determine how to take advantage of the tax incentives that come with QSBS for your own personal situation.

    Rule 10b5-1

    Rule 10b5-1 allows company insiders to make predetermined trades while following insider trading laws and avoiding insider trading accusations. Companies can permit an executive to either adopt or amend a 10b5-1 plan when its executives are allowed to trade the securities in tandem with their insider trading policy. Rule 10b5-1 stops any insiders from changing or adopting a plan if they are in possession of material nonpublic information. We help guide founders how to do this properly. *

    Hedging Strategies are designed to help reduce the impact of short-term corrections in asset prices. Effectiveness and cost are the two most important considerations when setting up a hedge. We can help take the guess work of how to hedge against different types of risk depending on your personal situation.

About George Jenckes

George is the co-founder of the SJG Group at Morgan Stanley in New York. With over 20 years of investment experience, George provides wealth management advice to a select group of venture-backed technology founders, private equity executives, and family offices.

George's deep understanding of the founders’ journey allows him to guide clients through complex financial decisions, such as Qualified Small Business Stock (QSBS) tax planning, pre- and post-transaction liquidity events, and the management of concentrated stock positions. He works closely with founders to develop customized strategies for diversifying their wealth, mitigating tax liabilities, and implementing estate planning techniques to protect assets in anticipation of a liquidity event.

In addition, George leverages his extensive knowledge of private markets to guide founders through the process of navigating secondary sales of their private company shares. George's expertise in this domain is particularly valuable for founders seeking to unlock liquidity prior to an initial public offering or strategic acquisition. He works closely with clients to develop tailored strategies that allow them to prudently monetize a portion of their illiquid holdings, while also positioning the remainder of their wealth for continued growth. This specialized approach enables founders to diversify their personal assets, mitigate concentration risk, and position themselves for long-term financial security.

As a Chartered Financial Analyst (CFA®) and holder of the Alternative Investments Director designation, George has a robust understanding of global portfolio construction, with a specific focus on private equity, venture capital, and real assets.

Prior to joining Morgan Stanley, George was a Managing Director and Senior Portfolio Strategist at Bank of America, where he provided investment strategy advice and capital markets execution to corporate executive clients. Earlier in his career, George was a Vice President at Lehman Brothers and an Associate and Analyst at J.P. Morgan.

George graduated Magna Cum Laude from Bucknell University with a Bachelor of Arts in Economics and Finance. He is a member of the New York Society of Security Analysts.

George and his wife, Ann, currently reside in Fairfield, CT with their two children, Ryan, and Alexis. George’s favorite activities outside of work include hiking, skiing, exploring national parks, strength training, and walking his dog, Leo.

Keith McGuire, Director of Business Strategy for the SJG Group, is a seasoned financial professional with over a decade of experience in the financial services industry. In his current role, Keith serves as the primary point of contact for all client communication, providing expert guidance on client requests, resolving inquiries, and delivering Morgan Stanley's comprehensive solutions and services to support clients' diverse needs. He focuses on enhancing the experience for all clients, ensuring that day-to-day operations run as efficiently as possible. Keith is adept at developing investment proposals in collaboration with the private wealth advisors on the team, leading conference calls and virtual meetings, managing client reporting, and distributing marketing materials. His ability to multitask efficiently allows him to give every client the attention they deserve, consistently delivering the highest level of service. Keith is also the lead on key initiatives for the team, such as corporate cash management and lending offerings.

Prior to joining Morgan Stanley in 2017, Keith spent seven years at J.P. Morgan Securities as an investment associate, building a strong foundation in financial services. He graduated from Providence College in 2008 with a Bachelor of Science in Finance, setting the stage for his successful career in the industry.

Beyond his professional accomplishments, Keith is deeply committed to giving back to his community. He is an active volunteer, serving as a golf coach for the Rockland County Special Olympics. About Victoria Bergman

Victoria Bergman serves as a Private Wealth Management Associate with The SJG Group at Morgan Stanley. Her role focuses on Business Development, Alternative Investments, and implementing the firm's Wealth Strategies and Planning Tools to enhance client support. Joining Morgan Stanley in 2020, Victoria began as a Wealth Management Summer Analyst in the Global Investment Office. She quickly progressed to become a Wealth Management Rotational Analyst, where she contributed to the Institutional Bank's Lending team and worked on the firm's Property & Casualty offering in Insured Solutions.

Victoria graduated from the University of Maryland's Robert H. Smith School of Business with a dual B.S. in Finance and Operations Management & Business Analytics. Her academic achievements include completing the competitive Banking and Private Wealth Management Fellows program. Judy brings more than 30 years of experience in the wealth management industry, of which the last 9 years have been with Morgan Stanley Wealth Management. Prior to Morgan Stanley, Judy worked for UBS Financial Services, Wachovia Securities (Wells Fargo), Prudential Securities, SC Cowen Securities and Merrill Lynch.

Judy attended Pace University and York College in New York and holds the Series 7 and 63 licenses.
