“Above all else, we believe in doing what is right for our client.”

To help our clients achieve their goals and make wise financial decisions, we provide a wide variety of services. These include everything from comprehensive investment management to tax planning, cash flow analysis, wealth transfer, legacy strategies – essentially, any decision involving money. All our recommendations and solutions are driven by two core pillars: simplifying our clients’ lives, and putting their interests first.

Before every flight, the pilots develop a flight plan. They define, step by step, where they’re going and how they intend to get there. They take off, expecting to follow the plan.

But during the course of the flight, wind, rain, turbulence, air traffic, and other factors act upon that plane. Pilots receive constant feedback during the flight, from control towers, their own instruments, even other pilots. As a result, they adjust, deviating from original the flight plan while remaining on track overall to reach their destination.

We believe this is an ideal metaphor for wealth management. We start with a comprehensive, carefully developed plan – and then we adjust for changing conditions or when new data becomes available. At any moment, circumstances may demand a course correction – but as with a typical flight plan, our strategy is designed to deliver you to your destination at the appropriate time.

Trust and Business Sale Planning

Successful business owners are visionaries. You are constantly thinking about how your business will prosper, who you should hire, where you want to expand, what your financing needs are, and ultimately, your exit strategy. This leaves you little time to consider for your own personal financial concerns, as well as those of your family.

Managing the financial needs of your business while also considering your personal wealth objectives can be a balancing act. Our team assumes responsibility for those concerns; navigating complex situations and offering planning-based solutions. We start with whatever is keeping you up at night, then tackle other priorities until every piece of your financial life is connected and accounted for.

Preparing for the transition and sale of a business requires planning across many financial disciplines. Working closely with clients early in this process helps them consider all aspects of the transaction to optimize the economic opportunity. Below are some resources that provide insight on the process of selling a business and different types of trusts to consider.
    Icon Image
    Family Limited Partnership
A Family Limited Partnership or “FLP” (or Family LLC) is a business entity which can facilitate business succession, gifting and estate planning. A properly created and administered FLP potentially allows you to leverage your lifetime gift tax exemption by making gifts of limited partnership interests, in trust or outright, to your family members on a discounted basis. Limited partnership interests generally qualify for valuation discounts for lack of marketability and lack of control.

    Sale to a Grantor Trust
A Grantor Trust is a trust that is not a separate taxpayer for federal income tax purposes. Instead, the grantor of the trust is deemed to own the trust assets and therefore, all income, deductions and credits attributable to the trust property will be reported by the grantor on his or her personal federal income tax return. Non-grantor trusts are separate taxpayers.
Learn About a Grantor Trust Here
    Icon Image
GRATs versus Sales to Grantor Trusts
A sale to an intentionally defective grantor trust is often compared to a Grantor Retained Annuity Trust (GRAT), another type of estate freeze transaction. With a GRAT, a donor transfers property to an irrevocable trust for a term of years. The GRAT is required to pay the grantor an annual annuity during the term. Any value remaining in the trust after the annuity is paid may pass to children (or other beneficiaries) without incurring federal gift tax.
    Learn About the Difference Here
    Icon Image
    Spousal Lifetime Access Trust
In a SLAT, each spouse would establish an irrevocable trust naming the other spouse and their children as beneficiaries. However, if the two trusts are deemed reciprocal (that is, they leave the spouses in nearly the identical economic position they had before the transfer), then the assets of the trust, including all appreciation, may be brought back into their estates for estate tax purposes under the "reciprocal trust doctrine."

5Investors should consider many factors before deciding which 529 plan is appropriate. Some of these factors include: the Plan’s investment options and the historical investment performance of these options, the Plan’s flexibility and features, the reputation and expertise of the Plan’s investment manager, Plan contribution limits and the federal and state tax benefits associated with an investment in the Plan. Some states, for example, offer favorable tax treatment and other benefits to their residents only if they invest in the state’s own Qualified Tuition Program. Investors should determine their home state’s tax treatment of 529 plans when considering whether to choose an in-state or out-of-state plan. Investors should consult with their tax or legal advisor before investing in any 529 Plan or contact their state tax division for more information. Morgan Stanley Smith Barney LLC does not provide tax and/or legal advice. Investors should review a Program Disclosure Statement, which contains more information on investment options, risk factors, fees and expenses and possible tax consequences.
