    10b5-1 Plans
    As a corporate executive, you may be aware of material non-public information at any time and as a result may face company imposed Quartey or specific blackout periods for trading your holdings. A 10b5-1 plan is designed to address these issues. By utilizing this plan you can gain a defense against claims of insider trading and can obtain a tailored schedule for trading your holdings to meet your liquidity needs.





    Clients executing a 10b5-1 Plan should keep the following important considerations in mind: (1) 10b5-1 Plans should be approved by the compliance officer or general counsel of the company; (2) A 10b5-1 Plan may require a cessation of trading activities at times when lockups may be necessary to the company (i.e. secondary offerings, pooling transactions, etc.); (3) A 10b5-1 Plan does not generally alter the regulatory requirements (e.g. Rule 144, Section 16, Section 13D) that may otherwise be applicable; (4) 10b5-1 Plans that are modified or terminated early may weaken or lose the benefit of the affirmative defense; (5) Public disclosure of 10b5-1 Plans (e.g., via press release) may be appropriate for some insiders; (6) Most companies will permit 10b5-1 Plans to be implemented only during open window periods; and (7) Morgan Stanley Smith Barney, as well as some issuers, imposes a mandatory waiting period between the execution of the 10b5-1 Plan and the first sale pursuant to the 10b5-1 Plan.

Growing up in Chicago Heights, Laurie learned firsthand the power of financial advice and long-term planning from her father, a successful advisor at Morgan Stanley for more than 25 years. With her father as her inspiration, Laurie attended the University of Wisconsin where she earned her degree in Business Administration with an emphasis on Finance. All through high school and college, Laurie worked summers and Holiday breaks at Morgan Stanley. After graduation, she joined the firm full-time in 1994 and became a Financial Advisor. A year later, Laurie teamed up with her father, working side-by-side with him until he retired in 2009.

Eleven years later, Laurie met her current partner, Kyle Cavanaugh, whose passion for the business matched her own. They decided to join forces to leverage each other’s skills, experience and insights. Today, Laurie and Kyle work together as a team to help clients ensure their lifetime of hard work is well cared for and that there will always be someone available to help them when they need it most.

Outside of the office, Laurie’s life centers on a love for her family and being a great mom. She and her husband, Christopher, have been married since 1997 and have two sons, Dylan and Parker. Laurie’s favorite leisure activities include cheering on her sons at their various sports activities, traveling, and taking long hikes with her two dogs, Ollie and Charlie.

Growing up in Homer Glen, Kyle was raised by two hard-working parents. His mother was a CPA and his father was an airline pilot. Their dedication to their respective fields inspired Kyle to pursue a professional that would blend the best of both vocations and highlight his strengths: the desire to help people make money with money and the importance of setting a course to achieve an intended result.

After graduating from Eastern Illinois University with B.S. degree in Business, Kyle began his career at Edward Jones in 2014 as a Financial Advisor. Five years later, he met his current partner, Laurie Long, whose passion for the business matched his own. He moved his practice to Morgan Stanley and he and Laurie officially formed a partnership to leverage each other’s strengths and to provide an even great experience for the clients they proudly serve.

Today, Kyle lives in Shorewood with his wife, Mackenzie. He is the current President and Board member of the Oak Forest Crestwood Chamber of Commerce and is also the Deacon at Calvary of Orland Park Church. Outside of the office, Kyle loves to be outside. He enjoys fishing, snowmobiling, skiing, and hiking with his dog, Remi. Following in his father’s footsteps, Kyle also likes to fly. He has a private pilot’s license and is pursuing his instrument rating.
