TRANSACTION PLANNING

Many of our clients come referred to us in advance of a potential liquidity event. In advising them, we separate our advice into three distinct phases.

PRE-LIQUIDITY
There are many things for the client to consider before approaching investment bankers or potential buyers. Because of our experience in middle-market mergers and acquisitions and exit planning, we try to get clients to specifically address 3 things:

1. Deciding what to sell; to whom; and when – some parts of your business may be of more value to you than to potential buyers. You may want to keep these. Would you rather have management or family own the company even if it’s at a lower price? Also, do you feel you are too young to sell, or would you rather start another idea?

2. Fix problems now, before any one else’s opinion is affected…“You only have one chance to make a first impression”

3. Maximum value is achieved through an auction process. Get several buyers into a competitive bid process. Do not approach buyers one at a time.

Before undertaking a sale or monetization, we help clients think through various estate planning and tax sensitive strategies to maximize after-sale proceeds as well as optimize generational wealth transfer.

We also work to understand your objectives and long-term goals for your family, so we can examine your estate plan in light of a potential transaction, adjust for actions you should take before liquidity, and help stress-test the possible outcomes against your desired outcomes.

AT-LIQUIDITY
Often the time leading up to the sale of a business is stressful. There are endless tasks and managing the process is all-encompassing. Our advice is that clients should leave long-term investment decisions for another day. Instead, we engage our Morgan Stanley colleagues specializing in Strategic Liquidity Management. Together, we build clients customized cash management portfolios that tailor fixed income maturities with our clients' specific liabilities and risk tolerance.

POST-LIQUIDITY
Once we have an effective cash management strategy in place, and our clients are ready, we begin the long-term investment and family office planning process. This is when we take a deep dive into your personal and unique circumstances, goals, and situation.

Meet The 92nd Group

About Eliah S. Najjar

Eliah is an Managing Director and a Senior Investment Management Consultant with Morgan Stanley in the firm’s Private Wealth Management Group. He joined Morgan Stanley in 2004, and has spent his entire career working with ultra-high net worth families. Prior to joining Morgan Stanley, Eliah began his career at JP Morgan’s Private Bank in Chicago and worked for a brief time at Lehman Brothers. In his role, Eliah works with families to understand their investment goals and objectives, and assists in the development and implementation of solutions for these families. Furthermore, Eliah works across generations within families to help ensure long-term relationship continuity, and to ensure the understanding of basic financial principles across the generations. Additionally, Eliah is part of a select group of advisors at Morgan Stanley that has earned the firm’s “Impact Director” designation, qualifying him to create investment portfolios that address issues of sustainability and social change or adhere to religious principles. In 2019, Eliah was first named to the list of Forbes Best-in-State Financial Advisors. He currently serves as the sole Private Wealth Management representative on the Morgan Stanley Great Lakes Region Financial Advisory council.

Eliah and his family are deeply involved with Roberti Community House, which works to provide food and educational resources to help foster talent and skill development in the Waukegan, Illinois community. Eliah is also a direct supporter of the Catholic Charities, Lake Forest Country Day School, Pathways.org and Sinai (Chicago) Health System. Eliah serves on the Parish Council of St. Patrick’s Catholic Church (Lake Forest) and was recently a Board and finance committee member of the Lake Forest Symphony. Eliah received his MBA from the Ross School of Business at the University of Michigan in 2004, with concentrations in finance and corporate strategy. He received his BA magna cum laude in Economics from Northwestern University in 1999. He currently resides in Lake Forest, Illinois with his wife and two daughters.

Drew graduated from Lake Forest College in 2019 with a B.A. in Finance and concentration in Computer Science. He currently resides in Grayslake, Illinois with his wife, Megan, and their daughter. When away from the office, he enjoys fishing, taking his dog for walks, and spending time with friends and family.

Lynn R. King is a Family Office Resource Generalist for the Mid-America region. She has over 15 years of experience working with families, family offices, and their attorneys, CPAs and financial advisors on issues unique to the UHNW client. Lynn started her career as an attorney in Illinois working with closely held businesses across the country on a broad range of topics, including entity structuring, estate planning, business succession and tax. She then joined New York Life Insurance as a Corporate Vice President in their Advanced Planning Group. In this role she expanded on her experience from private practice and engaged with clients on complex business and personal planning needs.
Lynn joined Morgan Stanley in September of 2020. As the Family Office Resource Generalist, Lynn provides advice and strategies to UHNW families. To that end, she assists families with the creation of family mission statements. She also educates adults and children on how to be good stewards of generational wealth. She engages with resources in philanthropy, wealth and estate planning and trust management to ensure the UHNW clients of the Firm are able to accomplish their goals.
Lynn received her undergraduate degree in Finance and Political Science from the University of Illinois- Urbana-Champaign. She attended The John Marshall Law School in Chicago, Illinois where she obtained her Juris Doctorate (J.D.) and is licensed to practice law in Illinois. She also holds her Series 7 and 66.
