What We Offer

As a corporate insider with concentrated stock, you may be wondering about tax-smart means of diversification. You may also be facing liquidity needs for real estate purchases or tax payments, sometimes before stock liquidity is available due to lock-ups or tight trading windows.

Our team tailors our comprehensive wealth management process to guide busy executives through the complex considerations around their stock wealth, taking into account tax optimization and immediate liquidity needs to construct a long-term strategy for diversification.
    Exchange Fund
For tax-deferred diversification, Exchange Funds provide diversification without triggering the taxable gains typically associated with diversification, as the exchange occurs within an IRS-approved tax-deferred vehicle. Exchange Funds are managed by portfolio managers to construct a desired portfolio so that each contributor of concentrated stock will ultimately receive a pro-rata allocation of the portfolio while retaining their original basis.
    Portfolio Line
For liquidity needs without triggering sales of concentrated stock, you can borrow against the stock in a portfolio line to manage more immediate cash flow needs for real estate transactions, tuition payments or tax payments. No underwriting or credit pull required, and no cost to setting up or keeping the portfolio line open. You borrow against the portfolio when needed, paying interest at a floating interest rate and repay it back without penalty.
    Donor Advised Fund
To offset higher income tax year when there is a liquidity event from IPO/acquisition, options exercise, stock vests, or bonus income, you can gift charitably to a Donor Advised Fund with appreciated long-term gain stock. This allows tax deduction in current tax year, with flexibility to gift to end charities over time.
    10b5-1 Plans
10b5-1 plans are preset diversifications plans for executives who want the flexibility to sell through open and closed windows, whether at market or specified limit prices. The 10b5-1 plan is a written trading plan approved by legal counsel and executed by a third party, which provides corporate insiders an affirmative defense against claims of insider trading.
    Investing With Impact
Many of us want our investments to make impact in the same way we want to make a positive impact. Impact investing focuses on companies with strong ESG (Environmental, Social, Governance) criteria. Research shows that businesses that are mindful of their environmental and social impact, operating with financial transparency, are profitable brands with loyal customer base.
    Family Office Resources
Family Office Resources (FOR) provides specialized technical expertise to ultra-high net worth Financial Advisors and clients across a broad range of family wealth management issues.
    Exit Planning
Whether you're a business owner, entrepreneur or corporate executive, planning for the sale of your business is one of the most important and complex endeavors you will undertake. Engaging a qualified team to assist you can help simplify the process. Click the link below to learn more about how we are able to entrepreneurs and executives with exit planning and business succession.

Your Legacy, Your Impact

Helping you thoughtfully achieve your goals to reflect your values is extremely important to us. By integrating strategic estate planning with meaningful giving, we aim to help empower you to leave a long lasting legacy that inspires change for generation to come.
    Donor Advised Funds (DAF)
A solution that may help you execute planned giving, offer an efficient way to donate complex and illiquid assets, and simplify charitable giving reporting while potentially mitigating taxes. Bring philanthropy into your wealth plan and help amplify the impact of your giving through the Morgan Stanley Global Impact Funding Trust (MS GIFT).

Considerations and Documents of Estate Planning
When engaging in estate planning, individuals can consider and prepare for a range of important circumstances including: disposal of assets upon their death; protecting and providing for their beneficiaries and; ensuring medical or financial decisions will be made in the case of their physical or medical incapacity. Addressing these circumstanced may involve preparing any one or more of a Last Will and Testament (a “Will”), a Revocable Trust, a Health Care Proxy, a Living Will, and a Power of Attorney (all of which are addressed within this document).

7When Morgan Stanley Smith Barney LLC, its affiliates and Morgan Stanley Financial Advisors and Private Wealth Advisors (collectively, “Morgan Stanley”) provide “investment advice” regarding a retirement or welfare benefit plan account, an individual retirement account or a Coverdell education savings account (“Retirement Account”), Morgan Stanley is a “fiduciary” as those terms are defined under the Employee Retirement Income Security Act of 1974, as amended (“ERISA”), and/or the Internal Revenue Code of 1986 (the “Code”), as applicable. When Morgan Stanley provides investment education, takes orders on an unsolicited basis or otherwise does not provide “investment advice”, Morgan Stanley will not be considered a “fiduciary” under ERISA and/or the Code. For more information regarding Morgan Stanley’s role with respect to a Retirement Account, please visit www.morganstanley.com/disclosures/dol. Tax laws are complex and subject to change. Morgan Stanley does not provide tax or legal advice. Individuals are encouraged to consult their tax and legal advisors (a) before establishing a Retirement Account, and (b) regarding any potential tax, ERISA and related consequences of any investments or other transactions made with respect to a Retirement Account. Individuals should consult their tax advisor for matters involving taxation and tax planning and their attorney for matters involving trust and estate planning, charitable giving, philanthropic planning and other legal matters.

8Investing in the market entails the risk of market volatility. The value of all types of investments may increase or decrease over varying time periods. The returns on a portfolio consisting primarily of sustainable or impact investments may be lower or higher than a portfolio that is more diversified or where decisions are based solely on investment considerations. Because sustainability and impact criteria exclude some investments, investors may not be able to take advantage of the same opportunities or market trends as investors that do not use such criteria. Diversification does not guarantee a profit or protect against loss in a declining financial market.
