Diversifying Stock Options and Company Equity

One of the many reasons you've succeeded in your career or business is that you often prioritized the interests of your organization or enterprise. This dedication has resulted in your being rewarded with sizable compensation in the form of stock grants and options or business equity.

Now that you're planning the next stage in your financial journey you face the challenge of managing a concentrated stock position or monetizing business value. Both are complex issues that require a thorough understanding of regulations and business as well as portfolio, tax and estate management.

Sand Hill Legacy Group has the experience to help you navigate this obstacle. We can help you work through the regulatory complications, tax implications, business considerations and family ramifications. Our goal is to ensure you diversify your concentrated position in a tax efficient manner that preserves and grows your wealth.

Solutions we will explore:

• Rule 144 sales of restricted and control securities
• Loans secured by eligible restricted and control stock
• Gifting of restricted or control stock to individuals, funds, foundations or organizations
• The creation and implementation of Rule 10b5-1 plans
• The use of exchange funds
• Inter family loans and self-canceling installment notes
• Employee stock ownership plans
• IPO, LBO or other sale to private equity investor
• Sale to a strategic acquirer

A Unified and Comprehensive Approach

We believe in comprehensive wealth planning. Part of our extensive discovery process when we begin working with a client is to review any existing tax and estate structures. We pride ourselves on working closely with external tax and legal advisors to make sure all aspects of your wealth are synchronized and complementary. If necessary we can also provide advice and guidance on the selection of tax and legal advisors.

By accessing Morgan Stanley's tax management solutions and services we can help you mitigate the tax drag on your portfolio all year long, not just at tax time. Our proactive approach to tax planning not only helps increase investment efficiency but also can maximize your charitable giving.

We take a holistic view when analyzing and advising on estate planning issues. Control of assets elements, such as wills, living trusts, powers of attorney and health care proxies, are foundational elements to your estate plan. But we will also help you review basic gifting options, like annual exclusions, lifetime exemptions and marital deductions, as well as more sophisticated leveraged gifting strategies.

Strategies we will consider:

• Intelligent withdrawal technology
• Tax-loss harvesting
• Tax-smart planning to transfer appreciated assets
• Charitable remainder trust
• Private foundation
• Grantor retained annuity trust
• Qualified personal residence trust

Managing your human capital

Sometimes the most challenging issue affluent families face is the management of their "human capital" rather than the management of their financial capital. We know how fraught issues of wealth education, business succession, and inheritance can become if they are not handled proactively with sensitivity and diplomacy.

Sand Hill Legacy Group has sat down with many clients and helped them define what fairness means when passing wealth to children. We've provided wealth education, coaching and mentoring to family members who may have previously been shielded from the mechanics and obligations of wealth.

Family businesses can be central to the dynamics of a family. We have helped tactfully discuss and formalize succession plans when some family members may be slated to be manager/owners, some owners only, and perhaps some who may not have a future role in the business.

We can help you establish a family governance plan that empowers your heirs to achieve their own success while still benefiting from your hard work and prudence.

Services available include:

• Creating family mission statements
• Crafting governance structures and documents
• Leading family meetings and retreats
• Establishing communication and decision-making models
• Advising on family offices
• Integrating family values into estate planning strategies
• Developing strategies to address special needs or blended families
• Building educational plans for family of any age
• Coaching and advising next generation clients

Helping translate your values into giving

Philanthropic efforts are often the ultimate elements of an ultra-high net worth client's legacy journey. We can help you successfully progress from your own personalized charitable efforts to more formalized multigenerational philanthropic endeavors.

Drawing on our understanding of your family's values and dynamics, we can guide discussions that can help your family translate its values into giving goals. We're experienced at leading discovery conversations that explore the aspects of your life that could inform a philanthropic plan. Together we may review seminal events in your life, your family background and values, your spiritual journey, your educational and professional development and your personal development to help you create a multigenerational giving legacy.

We can help you work with and implement the expertise of Morgan Stanley's extensive philanthropy management resources by researching existing organizations and establishing family foundations.

Philanthropic solutions include:

• Developing mission statements
• Selection and structuring of gifting vehicles
• Coordinating site visits
• Advising on grand making strategies
• Turnkey, web-based, back-office services
• Grant-making support
• Fundraising consulting
• Board development and placement

He has worked in finance for more than two decades, the past ten years with Morgan Stanley where he is a Senior Vice President, Financial Advisor, Portfolio Management Director and Global Sports and Entertainment Director.

After receiving his bachelor’s degree in accounting from the University of San Diego and a master’s degree in finance from St. Mary’s College of California, Chris joined the corporate world, eventually becoming responsible for the $1.2 billion fixed income and equity portfolios of Advanced Micro Devices, Inc. He next became the principal of the internet start-up HandyAuction. Chris’s fascination with finance and a love of teaching then led him to earn a certificate in Financial Planning from Teachers College, Columbia University and join Wells Fargo Advisors as a Municipal Solicitor and Portfolio Manager working with corporations, governments and executives. He returned to his alma mater Saint Mary’s as an adjunct professor teaching finance at its graduate business school.

A college roommate’s career in the NBA and coaching drew Chris into the worlds of professional sports and entertainment.
