• A corporate executive/Rule 144 insider with large stock option/ RSU grants.

Clients executing a 10b5-1 Plan should keep the following important considerations in mind: (1) 10b5-1 Plans should be approved by the compliance officer or general counsel of the company; (2) A 10b5-1 Plan may require a cessation of trading activities at times when lockups may be necessary to the company (i.e. secondary offerings, pooling transactions, etc.); (3) A 10b5-1 Plan does not generally alter the regulatory requirements (e.g. Rule 144, Section 16, Section 13D) that may otherwise be applicable; (4) 10b5-1 Plans that are modified or terminated early may weaken or lose the benefit of the affirmative defense; (5) Public disclosure of 10b5-1 Plans (e.g., via press release) may be appropriate for some insiders; (6) Most companies will permit 10b5-1 Plans to be implemented only during open window periods; and (7) Morgan Stanley Smith Barney, as well as some issuers, imposes a mandatory waiting period between the execution of the 10b5-1 Plan and the first sale pursuant to the 10b5-1 Plan.

David is a Senior Vice President, Family Wealth Advisor, and a managing partner of The Pacific Wealth Management Group. He enjoys working with successful professionals, business owners and their families, and providing personalized advice through a disciplined wealth management process. As co-head of the group’s planning practice he utilizes a goals-based approach that incorporates sophisticated financial modelling to benefit clients who require advanced stock option analysis, pre-liquidity and IPO planning, and business succession solutions. He also has significant experience in financial and estate planning strategies, guiding clients as they effectively transfer their wealth – and family values – to their children and grandchildren, using a thoughtful and educational
approach to carry on the family legacy.
Growing up in Apple Valley, Minnesota, David attended Marquette University on a Naval ROTC scholarship. It was here where he was first introduced to portfolio and financial management and discovered his true passion for business. David graduated with a B.S. degree in Finance and received his commission as a naval officer. He was stationed in Everett onboard the U.S.S. SHOUP (DDG-86) and in addition to his regular duties, found himself helping sailors on a variety of financial matters – from budgeting to lending to saving for retirement. David enjoyed this opportunity, knowing that he was helping make a meaningful difference in their lives. Afterwards, he determined that this experience would be his first step towards a full-time career in wealth management.
Following his military service, David joined UBS Financial Services and soon met his future business partners, Dale Miller and Larry Garcia. Two years later, after working his way up to partner, the group moved its practice to Morgan Stanley. Once at his new firm, David continued his ongoing commitment to professional development by earning important firm credentials, including Family Wealth Advisor, Senior Investment Management Consultant and Workplace Advisor – Equity Compensation. He also pursued and achieved prestigious industry designations such as Certified Financial Planner (CFP®), Chartered Mutual Fund Counselor (CMFC®), Certified Portfolio Manager (CPM®) designation and Certified Investment Management Analyst® (CIMA®).
Today, David enjoys serving his clients and becoming their go-to person for anything financial. He calls Renton, Washington, his home where he lives with his wife, Corinne, and their two young children. He is a strong believer in paying it forward and is a member of St. Joseph’s Catholic Church and a volunteer 10U Hockey coach. David is a former board member of Pediatric Stroke Warriors and the Bellevue Police Foundation, where he served as secretary. Outside of the office, he loves to spend quality time with his family. His favorite activities include backpacking, camping, and cheering on the Sounders and the Kraken.
